1. ACCEPTANCE OF TERMS 

This Website is maintained by Global Safe Haven Network ("GSHN") for your own personal information.  However, please remember that your access to the GSHN site is subject to the following terms, conditions, and notices (the "Terms"), as well as all applicable laws. By accessing and using the GSHN site, you accept the Terms without limitation or qualification. GSHN may at any time revise these Terms by updating this posting. You are bound by such revisions and should therefore visit this page to review the current Terms from time to time. GSHN reserves the right, without notice and for any reason, to remove any content on this site, and to deny access of any user or users to all or any part of this site.


2. DESCRIPTION OF SERVICES

GSHN provides its members ("Members") with the following support programs and services (the "Services"): (1) toll free GSHN emergency hotline access, (2) a personalized "Safe Travel Emergency Plan", (3) access to real-time member travel alerts, (4) on-going Member support website, (5) personalized webpage, and (6) a GSHN phone card.  The foregoing Services are more specifically described in the Member Benefit section of this Website (see http://www.globalsafehaven.org/member_benefits.htm for more detailed information).  You also understand and agree that the Services may include advertisements and that these advertisements are necessary for GSHN to provide the Services. You also understand and agree that the Service may include certain communications from GSHN such as travel alerts, and that these communications are considered part of GSHN's membership and you will not be able to opt out of receiving them. You understand and agree that the Services are provided "AS-IS" and that GSHN assumes no responsibility for the timeliness, deletion, miss-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Service, and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those third party fees and, in addition, you must provide and are responsible for all equipment necessary to access the Services.


3. YOUR REGISTRATION/ENROLLMENT OBLIGATIONS 

In consideration of your use of the Services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree and covenant to: (a) provide true, accurate, current and complete information about yourself in any enrollment information that is submitted or otherwise transmitted to GSHN (the "Enrollment Data") and (b) maintain and promptly update the Enrollment Data to keep it true, accurate, current and complete. Moreover, you expressly authorize GSHN to rely on any information and/or Enrollment Data that you submit and/or transmit to GSHN and expressly agree that GSHN has no obligation whatsoever to verify the accuracy of any such information and/or Enrollment Data.

4. GSHN PRIVACY POLICY 

Enrollment Data and certain other information about you are subject to our Privacy Policy. For more information, see our full privacy policy at [provide link]. Nevertheless, please be advised that GHSN is committed to your privacy--any information you do submit to GSHN is treated as confidential and is not sold or otherwise disclosed to third parties (unless otherwise required However, you acknowledge, consent and agree that GSHN may access, preserve and disclose your personal information if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOS; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of GSHN, its members, and the public

5. MEMBER ACCOUNT, PASSWORD AND SECURITY 

Upon successful enrollment for the Service, you will receive a password and account designation. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify GSHN of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. GSHN cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 5.

6. MEMBER CONDUCT 

You expressly agree and covenant to use the Services solely for their intended purposes (as determined by GSHN) and for no other reason whatsoever.  As such, you agree to not use the Services to:

		(a)	transmit any message, information, data, text, software or graphic files, or other materials ("Content") that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, that may be invasive of another's right of privacy or publicity, hateful, racially, ethnically or otherwise objectionable; 

		(b)	Impersonate any person or entity, including but not limited to, a GSHN official, forum leader, guide or host or falsely state or otherwise misrepresent your affiliation with a person or entity; 

		(c)	Post or transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as nondisclosure agreements); 

		(d)	Post or transmit any Content that contains a virus or corrupted data; 

		(e)	Delete any author attributions, legal notices or proprietary designations or labels that you upload to an your personalized website; 

		(f)	Use any of the Services in a manner that adversely affects the availability of its resources to other members; 

		(g)	Post or transmit any unsolicited advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; 

		(h)	Intentionally or unintentionally violate any applicable local, state, national or international law, rule or regulation; and 

		(i)	Upload or transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party.

	You also understand that the Services and software embodied within the Services may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by GSHN and/or content providers who provide content to the Services. You may not attempt to override or circumvent any of the usage rules embedded into the Services. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Services, in whole or in part, is strictly prohibited.

	Furthermore, recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

7.	INDEMNITY 

	You agree to indemnify and hold GSHN and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or otherwise make available through the Services, your use of the Services, your connection to the Services, your violation of the these Terms if Service (the "TOS"), or your violation of any rights of another.






8. 	NO RESALE OF SERVICES 

	You agree not to reproduce, duplicate, copy, sell trade, resell or exploit for any commercial purposes, any portion of the Service (including your GSHN ID), use of the Services, or access to the Services.

9.	MODIFICATIONS TO SERVICES


	GSHN reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that GSHN shall not be liable to you or to any third party for any modification, suspension or discontinuance of all or any part of the Services.

10. 	LINKS 

	The Services and/or this Website may provide links to other World Wide Web sites or resources. Because GSHN has no control over such sites and resources, you acknowledge and agree that GSHN is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that GSHN shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

11.	GSHN'S PROPRIETARY RIGHTS 

	You acknowledge and agree that the Services and any necessary software used in connection with the Services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements (if any) or information presented to you through the Services or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by GHSN, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Services or the Software, in whole or in part.

12.	DISCLAIMER OF WARRANTIES 

	YOU EXPRESSLY UNDERSTAND AND AGREE THAT: 

	YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GSHN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

	GSHN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

	ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

	NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM GSHN OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

13.	LIMITATION OF LIABILITY 

	EVEN THOUGH GSHN STRIVES FOR TIMELINESS AND ACCURACY IN ALL OF ITS MATERIALS AND ALERTS THAT ARE POSTED ON THE WEBSITE AND OR TRANSMITTED TO OUR MEMBERS, GSHN MAKES NO REPRESENTATIONS, WARRANTIES, OR ASSURANCES AS TO THE AVAILABILITY, ACCURACY, CURRENCY, OR COMPLETENESS OF SUCH INFORMATION.  GSHN SHALL NOT BE LIABLE FOR ANY DAMAGES OR INJURY RESULTING FROM YOUR ACCESS TO, INABILITY TO ACCESS, OR USE OF THIS SITE, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES OR INJURY ARISING FROM ANY LINKS TO OTHER SITES CONTAINED WITHIN OR REFERRED TO IN THIS SITE. 

	FURTHERMORE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT GSHN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF GSHN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICES; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICES; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES; OR (v) ANY OTHER MATTER RELATING TO THE SERVICES.

14.	EXCLUSIONS AND LIMITATIONS 

	SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 12 AND 13 MAY NOT APPLY TO YOU.

15.	NO THIRD-PARTY BENEFICIARIES

	You agree that, except as otherwise expressly provided in this TOS, there shall be no third-party beneficiaries to this agreement.

16.	NOTICE 

	GSHN may provide you with notices, including those regarding changes to the TOS, by email, regular mail or postings on the Website.

17.	TRADEMARKS

	The trademarks, logos, and service marks (the "Trademarks") displayed on the GSHN Website are the property of GSHN and other parties and may be registered and unregistered Trademarks of GSHN and others. Nothing contained on the Website should be construed as granting by implication, estoppels, or otherwise, any license or right to use any Trademark displayed on the GSHN site without the written permission of GSHN or such third party that may own the Trademark. Misuse of any Trademarks, or any other content, displayed on the GSHN Website is strictly prohibited. GSHN reserves the right to enforce its intellectual property rights through civil and criminal proceedings. 

18.	GENERAL INFORMATION 

	Entire Agreement. The TOS constitutes the entire agreement between you and GSHN and governs your use of the Services, superseding any prior agreements between you and GSHN with respect to the Services. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other GSHN services, affiliate services, third-party content or third-party software.


	Choice of Law and Forum. The TOS and the relationship between you and GSHN shall be governed by the laws of the State of California without regard to its conflict of law provisions. You and GSHN agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Los Angeles, California.

	Waiver and Severability of Terms. The failure of GSHN to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.

	Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred.
